Working with Inner Circle Filmwerx, Its Partnering Companies & Parent Company

These Terms & Conditions outline the responsibilities, rights, and expectations when engaging with Inner Circle Filmwerx, its partnering companies, and parent company for development, production, and film distribution. By entering into an agreement with Inner Circle Filmwerx, all parties acknowledge and accept the following terms:

1. GENERAL AGREEMENT

1.1 Inner Circle Filmwerx (hereinafter referred to as “ICF”) and its partnering/parent companies operate as an integrated film development, production, and distribution entity.
1.2 All parties involved in any business dealings with ICF agree to abide by the terms set forth herein.
1.3 Any modifications to these terms require a written and signed agreement by all parties involved.

2. DEVELOPMENT AGREEMENT

2.1 Project Ownership & Rights

All projects entering development with ICF will have their ownership, rights, and financial structures outlined in an individual Development Agreement prior to commencement.
Writers, producers, and directors must confirm that they hold the legal rights to any intellectual property submitted.

2.2 Creative Control & Approvals

ICF retains the right to creative input and final approvals over any project developed under its banner unless otherwise agreed in writing.
All third-party creative contributions must be pre-approved by ICF and its partners.

2.3 Compensation & Financing

Payment structures for development services (scriptwriting, storyboarding, pre-visualization, etc.) will be determined on a per-project basis and outlined in a separate agreement.
Any external financing brought into a project must be disclosed and approved by ICF.

3. PRODUCTION TERMS

3.1 Budget & Funding

A detailed production budget will be agreed upon prior to filming, outlining financial responsibilities for all parties.
ICF and its parent/partner companies may provide partial or full funding depending on project scope and agreement.

3.2 Production Deliverables

All projects must adhere to the agreed-upon production timeline and industry-standard deliverables (footage format, audio specs, etc.).
Any delays or changes in production must be communicated in writing and may require contract amendments.

3.3 Crew & Talent Agreements

ICF and its partners will determine key hires (director, cinematographer, editor, etc.) as per project needs.
All crew and talent must sign Non-Disclosure Agreements (NDAs) and comply with ICF’s production policies.

3.4 Insurance & Liability

ICF requires that all productions have proper insurance coverage, including liability, equipment, and workers’ compensation.
Any damages, injuries, or legal claims arising from production must be reported immediately to ICF.

4. DISTRIBUTION TERMS

4.1 Rights & Licensing

By entering a distribution agreement with ICF, the filmmaker/production company grants ICF the exclusive or non-exclusive rights to distribute the film across specified territories and platforms.
Any pre-existing distribution agreements must be disclosed prior to signing.

4.2 Revenue & Profit Sharing

Distribution revenue will be split according to the terms outlined in each film’s Distribution Agreement.
ICF will provide periodic financial reports detailing revenue from streaming, theatrical releases, TV, and other distribution channels.

4.3 Marketing & Publicity

ICF and its partners will oversee marketing and promotional strategies, including trailer production, poster design, and PR campaigns.
The filmmaker may be required to participate in press events, interviews, and promotional activities.

4.4 Exclusivity & Termination

If an exclusive distribution agreement is in place, the filmmaker agrees not to license the film to other distributors without written consent from ICF.
Either party may terminate the agreement under mutually agreed-upon conditions, with appropriate notice and legal procedures.

5. CONFIDENTIALITY & NON-DISCLOSURE

5.1 All parties agree to keep confidential information regarding projects, business strategies, and proprietary content private.
5.2 NDAs will be signed where applicable, and breach of confidentiality may result in legal action.

6. DISPUTE RESOLUTION & LEGAL COMPLIANCE

6.1 Any disputes will first be handled through internal mediation before legal action is considered.
6.2 Legal proceedings, if necessary, will take place in the jurisdiction specified in the signed agreements between parties.
6.3 All agreements must comply with local, national, and international film industry laws and regulations.

7. FINAL AGREEMENT

By engaging in any form of business with Inner Circle Filmwerx, its partnering companies, or parent company, all parties acknowledge and accept the terms and conditions outlined above. Specific details regarding development, production, and distribution will be determined in separate contracts for each project.
